Notification of Amendment of Articles of Incorporation

Recruit Holdings Co., Ltd. (TSE 6098) (the "Company") announces today that the Company's Board of Directors resolved to propose "Amendment of Articles of Incorporation" to the 61th annual shareholders meeting scheduled to be held on June 17, 2021 (the "Shareholders Meeting") as follows.
Reason for Amendment
The Company proposes to add Article 12, Paragraph 2 to the Articles of Incorporation following the allowance of shareholders meeting being held without including physical locations (so-called "virtual-only shareholders meetings") by the "Act for Partial Amendment, etc. of the Act on Strengthening Industrial Competitiveness"(the "Act").
The amendment to the Articles of Incorporation proposed in this item is to become effective on the condition that, in addition to the resolution at the Shareholders Meeting, the Act becomes effective and that the Company meets all of the requirements prescribed in the Act such as receiving confirmation from the Minister of Economy, Trade and Industry and the Minister of Justice in accordance with the Order of the Ministry of Economy, Trade and Industry and the Ministry of Justice (the "Order") that doing so fulfills requirements prescribed in the Order for making a contribution to strengthening industrial competition while taking into consideration the security of shareholders' interests.
